CCBA CORPORATE COUNSEL SECTION SEMINAR

“COMPLIANCE TRIPWIRES”

PRESENTATION DETAILS

8:45-9:30              “Avoiding the Chains of Human Slavery:  What Corporate Attorneys Need to Know” – Dana Nahlen, Esq., Legal Executive, FIS – .75 hour MCLE (.25 hour ethics)

Federal law in the US and the UK, and certain California laws, now require corporations covered by them to make efforts to combat modern slavery and human trafficking in their supply chains, and to publish information on those efforts.  Failure to do so can result in civil and even criminal penalties for the companies.  This session will discuss those requirements and how to determine if your clients are covered by them.

9:30-10:15           “Current Issues in Business Licensing” – James Mosser, Esq., Mosser Law PLLC – 1.0 hour MCLE (no ethics)

This presentation will cover aspects of business licensing at the state and local level that can affect your company’s operations.  Among other things, it will address traps for the unwary and the potential risks of liability and loss resulting from failure to comply with licensing laws.

10:30-11:30         "Can You Keep a Secret?  Protecting the Privilege of In-House Counsel" – Kelli Hinson, Esq., Carrington Coleman – 1.0 hour MCLE ethics credit

This presentation will review the basic elements of attorney-client privilege and discuss how they translate to in-house counsel. Specific situations discussed will include communications with former employees, access to privileged communications by disgruntled shareholders, representation of officers and directors, and the effect of mergers, acquisitions, and bankruptcy on the privilege.

11:30-12:30         “Immigration and Export Tripwires” – Martha James, Esq., Cowles & Thompson – 1.0 hour MCLE credit (no ethics)

This presentation will include an overview of the Trump Administration’s Executive Orders and how they may affect employers; the new I-9 form, including compliance and policies that every employers needs to have in place; issues affecting employees traveling with company technology/electronics; and export licensing and immigration – both Export Administration Regulations and International Traffic in Arms Regulations.
