Topic: “Collaborative Contracting is a Reality:  A New Approach to Building Long-Term Strategic Relationships”

Summary:  Today, most attorneys approach contracting from an adversarial standpoint.  Using a traditional contracting approach, a transactional lawyer will spend many hours drafting contract provisions to gain leverage over the other party, many times viewing the other party as untrustworthy or only looking out for themselves.  But what if, from the very beginning of the contracting process, there were no secrets, no positioning, and a recognition that both parties must do whatever they can to make the other party successful?  In this presentation, the speaker will discuss the process of collaborative contracting, which a number of very large and well-known companies are now using to build long-term strategic relationships that last.  During the process of negotiating a collaborative contract, an attorney must be mindful of certain ethical considerations unique to attorneys, and the speaker will also address an attorney’s ethical duty regarding the treatment of confidential information and his or her obligation regarding the disclosure of information necessary to avoid making misleading statements.
